Define ownership in writing

Tooling terms should identify the buyer, supplier, product, tool type, payment structure, ownership date, and any conditions that affect title. The agreement should also distinguish physical ownership from ownership of tool design, drawings, software, process knowledge, and intellectual property.

Ambiguous language can create disputes when production is transferred, the supplier closes, the program ends, or the tool requires major replacement.

Separate routine maintenance from replacement
